We advise in the field of commercial agents and distributors, franchise systems and other distribution forms. Our attorneys and specialists are familiar with all forms of companies and legal entities and advise corporations, liquidation and insolvency of individual enterprises, partnerships, commercial partnerships, corporate entities and mixed forms thereof, clubs and foundations. We draft company agreements and articles of associations of all kinds, conduct transactions (mergers and acquisitions, due diligences) and also advise regarding corporate succession. A main focus of our consultation is on the legal relations of legal entities (especially managing directors of German limited liability companies - GmbHs, board of directors and supervisory board of German stock corporations - AGs). Core issues here are service agreements and their terminations and other finalizations, as well as the liability of managing directors, board of directors or supervisory boards. Further, we support companies in conducting restructuring and change of corporate form, reorganisation and crisis management.
